TERMS AND CONDITIONS


Introduction

These Terms and Conditions (“Terms”) govern the use of services provided by Doalign LLC (“Doalign”, “we”, “our”, or “us”). By engaging our services, you (“Client”, “you”, or “your”) agree to be bound by these Terms.

Doalign is a certified Odoo partner providing ERP consulting, implementation, customization, and support services for small and medium-sized businesses.


Scope of Services

Doalign provides professional services related to Odoo ERP, including but not limited to:

  • Business process analysis and consulting.
  • Odoo implementation and system configuration.
  • Custom module development and integrations.
  • Data migration from legacy systems.
  • User training and documentation.
  • Post-implementation support and optimization.

The exact scope, deliverables, timelines, and fees will be defined in a separate proposal, quotation, or Statement of Work (SOW) agreed upon with the Client.


Client Responsibilities

The Client agrees to:

  • Provide accurate, complete, and timely information required for the project
  • Assign a primary point of contact for communication and approvals
  • Participate in meetings, validations, and testing phases
  • Review and approve deliverables within reasonable timeframes
  • Ensure that internal teams are available for training and adoption

Delays caused by the Client may impact timelines and may result in additional costs.


Odoo and Third-Party Services

Doalign provides services related to the implementation and customization of Odoo ERP but does not own or control the Odoo platform.

  • Odoo software licenses, hosting, and subscriptions are provided by Odoo S.A. or its affiliates
  • Pricing, availability, and functionality of Odoo services are subject to Odoo’s terms and conditions
  • Doalign is not responsible for changes, outages, or limitations related to third-party services

The Client acknowledges that Odoo and other third-party tools operate independently of Doalign.


Fees and Payment Terms

All fees for services will be defined in the agreed proposal or SOW.

  • Payments must be made according to the agreed terms (e.g., milestone-based, hourly, or fixed fee).
  • Invoices are due within the specified payment period stated on the invoice.
  • Late payments may result in suspension of services until payment is received.
  • Doalign reserves the right to charge reasonable late fees where applicable.

All fees are non-refundable unless otherwise agreed in writing.


No Guarantee of Results

Doalign provides services based on industry best practices and professional expertise. However:

  • We do not guarantee specific business outcomes, financial results, or operational improvements.
  • The success of the implementation depends on Client participation, data quality, and internal processes.

Data Migration and Data Responsibility

Doalign may assist with data migration from legacy systems. The Client acknowledges that:

  • Data accuracy depends on the quality of the source data provided.
  • Data mapping and transformation may involve assumptions or limitations.
  • The Client is responsible for validating all migrated data.

Doalign is not liable for data inconsistencies originating from the Client’s source systems.


Intellectual Property

  • Any pre-existing tools, frameworks, or methodologies used by Doalign remain the property of Doalign.
  • Custom developments created specifically for the Client may be used by the Client for internal business purposes.
  • Odoo and its modules remain the intellectual property of Odoo S.A. or its licensors.

Confidentiality

Both parties agree to keep confidential any non-public, proprietary, or sensitive information shared during the course of the engagement.

This obligation shall survive the termination of the agreement.


Limitation of Liability

To the maximum extent permitted by law:

  • Doalign shall not be liable for any indirect, incidental, special, or consequential damages.
  • Total liability shall not exceed the total amount paid by the Client for the services giving rise to the claim.

Termination

Either party may terminate the engagement:

  • In accordance with the terms defined in the proposal or SOW.
  • In case of material breach by the other party.

Upon termination:

  • The Client shall pay for all services rendered up to the termination date.
  • Access to ongoing services may be discontinued.

Service Availability

Doalign will make reasonable efforts to deliver services within agreed timelines. However:

  • Delays may occur due to technical issues, third-party dependencies, or Client-related factors.
  • Doalign is not liable for delays outside its reasonable control.

Changes and Scope Adjustments

Any changes to the agreed scope must be documented and approved by both parties.

Additional work outside the original scope may be billed separately.


Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas, United States.


Updates to These Terms

Doalign reserves the right to update or modify these Terms at any time. Updated versions will be published on our website.

Continued use of our services constitutes acceptance of the updated Terms.
